Job Description

Corporate Counsel Commercial will be a member of the Company’s commercial legal practice group. The practice group provides day-to-day support for procurement, transactions, sales, contracts and commercial law matters; drafts and negotiates complex transaction agreements; handles escalated disputes with clients and vendors; regularly fields tax, workers’ compensation, employment law, and other questions affecting the business and handles a wide array of other commercial issues that arise from the day-to-day operations of a large, fast-paced organization. The successful candidate will be “hands on” providing legal services to protect the best interests of the Company, improving existing processes and strategies, reducing risk, and applying consistency across products, while ensuring that the Company operates in compliance with the applicable laws.

•    Day-to-day vendor and procurement contract drafting, editing, and counseling, advising stakeholders of potential risks in contractual areas and proposing practical risk mitigation strategies;
•    Providing creative and legally sound solutions for resolution of disputes with commercial business partners.
•    Understanding tax, regulatory, workers’ compensation, employment law, employee benefits, health insurance, and other areas affected by proposed commercial transactions of the company, either without assistance or in conjunction with other members of the Company legal team;
•    Updating current contract templates and developing new templates, as necessary, for use by key stakeholders, particularly the Company’s procurement department and vendor operations.
•    Researching and responding to questions from business colleagues related to contracting requirements.
•    Other projects and responsibilities may be added at the manager’s discretion.

•    Juris Doctor (J.D.) from an accredited law school
Training Requirements (licenses, programs, or certificates): 
•    Member in good standing with the State Bar
•    5 to 7 years Commercial Transaction and vendor and procurement contracting experience.
•    Understanding of employment law, payroll tax, employee benefits, and/or insurance law experience is preferred.
•    Experience advising and assisting high-volume vendor or procurement departments is preferred.
•    Experience with technology transactions, licenses, purchases, and agreements is preferred.

•    Demonstrated ability to use legal training to lead or influence operational process, procedure and strategy
•    Outstanding written & verbal communication skills, ‘hands-on’ style and willingness to proactively engage with peers

•    Outstanding responsiveness and flexibility to Company, sales, and customer needs

•    Ability to lead large-scale projects and high-volume, small scale projects
•    Sense of humor
•    Commitment to high professional ethical standards
•    Effective user of PowerPoint, Excel, and other Microsoft tools to develop work plans, with developing ability to articulate complex issues, analyze data, and structure information
