Position Focus:

 

Yale University's Office of the Senior Vice President and General Counsel seeks an Assistant General Counsel to support the university's corporate and transactional needs as a tax-exempt non-profit organization. This attorney will partner with internal business teams, subject matter experts, and risk management, independently and in collaboration with senior attorneys.

 

Responsibilities include: Provide high-quality legal and strategic advice to a diverse client base. Advise the university on its interactions with taxable and non-taxable entities. Provide legal advice and analysis on a wide range of matters, including general corporate and commercial matters; compliance with exempt-organization tax laws and regulations; and registration and compliance-related filings in foreign jurisdictions. Advise on the development and implementation of organizational policies and corporate governance. Providing general nonprofit corporate advice and advising on exempt organizations law, including creation, governance, and administration of legal entities in the US and abroad. Participate in various activities related to corporate governance, regulatory compliance, and third-party risk management. Research and draft memoranda, opinions and correspondence on legal issues affecting the university.

 

Essential Duties: Serve as legal liaison to specific operational departments. Monitor developments in relevant areas of the law by keeping current on legal literature, networking with other attorneys, and attending conferences and seminars.

Support effective and efficient use and management of outside counsel. Perform other duties as assigned.

 

Essential Duties:

 

  1. Interprets legal regulations and University policies and procedures. 2. Assists in the handling of administrative and legal proceedings before federal and state agencies and courts. 3. Negotiates, reviews, drafts and interprets contracts. 4. Negotiates and drafts the settlement of claims and/or litigation. 5. Researches and drafts memoranda, opinions and correspondence on legal issues. 6. May perform other duties as assigned.

 

Required Education and Experience:

 

J.D. and a minimum of 3 years’ experience in a related area.

Outstanding analytical, negotiating, drafting and writing ability.

Pragmatic business acumen with the ability to recognize the broader consequences of legal advice. Demonstrated excellence in oral and written communication.

Preferred Education, Experience and Skills:

 

LLM in tax. Preferred experience with structuring and drafting and negotiating agreements related to charitable gifts. Interpreting and applying tax laws and regulations applicable to tax-exempt corporations.
