The role is required to keep business hours with the organization, Eastern time.

May be called upon outside regular business hours.

May involve travel within the United States and internationally up to 25% of the time. 


Global Support and Development (GSD) is hiring a General Counsel to oversee and manage the provision of all legal services to the institution to ensure maximum protection of its legal rights and to maintain its operations within limits prescribed by law. Provide strategic guidance, consultation, and support on a comprehensive range of legal and associated issues in carrying out the organization's mission.

General Counsel is a key culture leader within GSD, and an advocate for an organizational safety culture that looks to keep communities in need at the heart of what we do.

Priorities include assessing organizational and operational risks, negotiating, examining, and draft of contracts related to employment and vendors. Additional duties include negotiation, examination, and drafting agreements related to activities with partners and grantmaking, supporting HR functions, and coordinating legal subject matter expert (SME) opinion in medico-legal, International Humanitarian Law, International Customs Law, and others.


General Counsel will be expected to engage with a broad range of maritime legal issues and leverage a network of maritime law experts to ensure the HV can effectively operate in the Caribbean Sea, where it will be based year-round. 

Essential Functions:

  • Advising GSD and our Board on various matters such as legal rights and new and existing laws.
  • Managing GSD’s legal matters and understanding the organization’s legal risk broadly.
  • Maintaining knowledge of the organization’s operations and legal documents.
  • Working across departments to ensure all Standard Operating Procedures (SOP) adhere to the organization’s legal standards.
  • Liaising with outside counsel regarding their assignments.
  • Drafting, providing legal review and support for contracts, Memoranda of Understanding (MOU), partner and business relationships, and other activities in which the organization is involved.
  • Maintaining proper insurance coverage (and annual reviews of such coverage) for the organization as requested, including, but not limited to: medical malpractice, general liability, and international travelers.
  • Ensuring regulatory and legal compliance with international activities.
  • Assisting, as requested by the CEO, in board meetings and reporting.
  • Maintaining corporate filings and foundation compliance matters.
  • Creating new entities and managing the organization’s intellectual property.
  • Other duties as assigned by the CEO


  • Bachelor’s degree from a four-year college or university.
  • Juris Doctor degree from ABA-approved law school.
  • Ten (10) or more years of practicing law. In-house counsel experience is desirable.
  • Experience with corporate governance issues.
  • Knowledge of statutes, rules, and regulations pertaining to nonprofit organizations.
  • Excellent organizational skills, the ability to shift tasks rapidly, and self-motivation.
  • A demonstrated ability to analyze cultural context.
  • Must be bared in at least one state and able to waive into NC, WA, and CA.
  • NGO and non-profit experience as a board member or in-house is desired.
