ASU Enterprise Partners is an efficient network of highly skilled teams; it is comprised of a full complement of professional services that work in concert with specialized business units to provide full resources and extend Arizona State University’s ability to achieve its charter.
Under the direction of the General Counsel and Corporate Secretary, and in partnership with the Senior Associate General Counsel, this role is responsible for actively engaging in the full range of legal services to successfully support and drive forward ASU Enterprise Partners (ASUEP) and its subsidiaries. This role includes legal representation and advisement in areas such as charitable law, non-disclosure agreements, employment law, general operational agreements, commercial transactions, corporate governance legislation, and business formations on an as-needed basis.
This position will be scheduled for 20 hours/week.

What you’ll do:
Assists the Senior Associate General Counsel and General Counsel and Corporate Secretary with legal matters related to ASUEP and its subsidiaries
Provides legal advice, counsel, services, and consultation for business transactions
Responsible for contract management; conducts research, development, and negotiation of contracts
Researches changes in law and practice governing tax exempt, non-profit organizations, including IRS advisory publications concerning charitable gift acknowledgement, real estate, and unrelated business income tax regulations
Proactively identifies and mitigates legal risk to protect ASUEP from undue legal exposure, liability, and financial loss, all the while counseling and working to facilitate the achievement of strategic and operational objectives
Assists with management of legal processes and policies that govern ASUEP operations
Assists with policy updates, including those concerning compliance with Arizona statutes, IRS 501 (c)(3) regulations and Sarbanes-Oxley regulations, “Whistleblower” policies and Record Retention policies as they apply to non-profits
Assists the General Counsel and Corporate Secretary with the coordination and preparation of internal agreements governing ASUEP subsidiaries
Performs other duties commensurate with the position and special projects as assigned by the General Counsel and Corporate Secretary and/or Senior Associate General Counsel
What you'll need:
Knowledge and skill in drafting, reviewing, and negotiating business agreements and corporate legal documents
Knowledge of federal and state laws that govern ASUEP and its subsidiaries
High level of business acumen
Excellent written and verbal communication skills with the ability to communicate effectively with others at all levels of the organization
Strong interpersonal skills, along with the ability to communicate effectively with others at all levels of the organization
Ability to establish and maintain strong relationships within the organization’s key stakeholders, external partners and across all subsidiaries
Ability to maintain a high degree of confidentiality and responsibility regarding information related to Enterprise Partners, its subsidiaries, Arizona State University business and donor prospect information
Ability to effectively manage complex situations involving numerous and sometimes competing constituencies
Ability to represent the institution well
Attention to detail and thoroughness in completing assigned duties
Highly organized
Adept at navigating complex environments with evolving priorities and communication plans
Preferred Skills & Abilities:
Experience in estate and gift planning to include drafting and negotiation of charitable gift instruments.
Relevant qualifications:
J.D. from an ABA accredited law school
Five (5) years hands-on experience in a similar role within a private, university, corporate, government, and/or nonprofit environment
License to practice law in Arizona (upon exam, motion or in-house designation) to be obtained within eight (8) months of employment in role
Broad-based transactional legal experience; significant experience in charitable law and contract negotiation required
