UCSF Health

Senior Principal Counsel and Lead Transactions Counsel

UCSF Health seeks candidates for the role of Senior Principal Counsel and Lead Transactions Counsel. This is a unique opportunity at one of the most respected healthcare institutions in the U.S.

The University of California, San Francisco (UCSF) is a leading university dedicated to promoting health worldwide through advanced biomedical research, graduate-level education in the life sciences and health professions, and excellence in patient care. It is the only campus in the 10-campus UC system dedicated exclusively to the health sciences. The UCSF Office of Legal Affairs assists the UCSF community in accomplishing its goals in a manner consistent with both law and University policy. As an integral part of the campus community, the office supports and facilitates the campus’s mission by providing legal services in a proactive and responsive manner. Attorneys in the office reporting to the UCSF Health Chief Counsel support the health system and its various business units and corporate functions, including five licensed hospitals that are owned or operated by UCSF, a faculty practice plan and ambulatory care network, and an affiliates network that operates a medical foundation, a clinically integrated network, urgent care centers, and more.

Reporting to the Chief Counsel, UCSF Health, the Senior Principal Counsel and Lead Transactions Counsel provides legal support to members of UCSF Health System Executive Team and Senior Leadership Counsel related to complex healthcare transactions and related complex health regulatory matters. The Senior Principal Counsel and Lead Transactions Counsel will have a demonstrated ability to independently counsel strategy, network development, and contracting leaders, and to run major transactions including whole hospital transactions. This includes providing strategic advice to assist clients in identifying and describing their goals and objectives; developing options for pursuing them; identifying, coordinating, and efficiently managing dispersed in-house and outside resources in support of the deal work; leading responses to related government inquiries and investigations; and drafting complex legal opinions. The work requires working knowledge of substantive legal disciplines affecting healthcare organizations such as corporate governance, fraud and abuse, licensing and enrollment, enterprise risk management, and managed care.

This is an outstanding opportunity to join a high-performing in-house legal team and work in a positive, open, and responsive team environment. It is important that the Senior Principal Counsel and Lead Transactions Counsel is viewed as credible, visible, and accessible, as well as somebody who exhibits high integrity and is willing to listen effectively and to work collaboratively. The Senior Principal Counsel and Lead Transactions Counsel will serve as a strategic business partner of the organization and proactively provide counsel and training in the aforementioned subject matters. The Senior Principal Counsel and Lead Transactions Counsel is clearly aligned with UCSF’s PRIDE values and Principles of Community.

The successful candidate must have excellent academic credentials, a law degree from an ABA-accredited school of law, membership in the State Bar of California, and an outstanding record of achievement with at least ten years of healthcare law experience gained in-house or through working closely with academic and/or community health system clients. California's Registered In-House Counsel program is NOT available to University of California attorneys (out-of-state candidates will be expected to become full California bar members within one year of employment). Specific experience working in an integrated healthcare delivery system or academic medical center is preferred.

Direct experience with California agencies with related regulatory oversight responsibilities (such as the California Department of Justice, the California Department of Public Health, the Department of Health Care Services, and the Department of Health Care Access and Information) is required.
