Caterpillar is seeking an Assistant General Counsel to provide legal support for its Solar Turbines Division. Solar Turbines manufactures mid-size industrial gas turbines for use in electric power generation, gas compression, and pumping systems. This position will be aligned with Solar’s global Oil and Gas business organization, based in Houston, Texas, and provide legal support to the business primarily on commercial legal matters arising in the oil and gas and power generation industries. The position will be based in Houston and report to the Caterpillar Associate General Counsel responsible for Solar Turbines (Solar Lead Counsel), based in San Diego, California.
The successful candidate will provide legal support to the business on matters related to both domestic and foreign sales of complex industrial equipment and services; including direct sales of equipment and services; sales through distribution networks; related compliance, finance, tax, insurance and IP matters (e.g., non-disclosure agreements); commercial disputes; construction; real estate; antitrust; warranties; product regulatory; and other legal matters. Responsibilities will also include formulating and driving initiatives beneficial to the business, such as training or processes initiatives. Direct reports of this position may include attorneys and support staff, and currently include one Senior Contract Specialist.
The position requires significant interaction with Solar’s Lead Counsel as well as multiple legal professionals and managers at Caterpillar and Solar. Candidates must have a demonstrated record of interpreting, negotiating and communicating the substance of complex commercial agreements (e.g., global customer agreements; large-scale project agreements; or domestic and foreign government procurements), and related regulatory and compliance issues, and translating them into appropriate risk management advice using relevant tools and processes. The position is challenged to carefully evaluate unique legal problems and issues and make recommendations to higher leadership on the best course of action, calling on past examples and experience. Excellent interpersonal skills are required in order to deal with sensitive issues, develop others, or persuade others inside and outside the department to take specific actions.
Requires a law degree
Strong experience in the practice of U.S. law, including some commercial law experience
Active Bar admission in any U.S. State
Minimum of 10+ years of progressively responsible job-related experience
Commercial experience in a large law firm or multi-national corporate law department.
Demonstrated human relations, interpersonal and communication skills.
Ability to manage multiple projects with minimal supervision
Preferred Candidates Will Also Have:
Experience in the oil and gas or power generation industries
Experience with domestic and foreign complex commercial agreements
Foreign language ability, particularly Spanish, is a plus.
The position will be located in Houston, Texas. Relocation assistance may be provided to those eligible.
