Overall role:

Resolve to Save Lives seeks qualified candidates for the position of Vice President, Legal. Reporting to the Chief Operating Officer, the Vice President, Legal will be a high-stakes crisis manager responsible for overseeing the legal functions of the organization and advising the Senior Management Team and Board of Directors on organizational strategy, operations, and other issues with legal implications. S/he will have a diverse range of experience including business, corporate governance, intellectual property, privacy, employment, and not-for-profit law. After four years of rapid expansion, Resolve to Save Lives has announced plans to become a fully independent, U.S.-based, and registered nonprofit organization, effective by June 2022.  The Legal Counsel will take the lead in providing day-to-day legal and compliance support to the organization and liaising with outside counsel to establish the new entity and registration in countries of program implementation. The ideal candidate will invite and manage divergent views while managing conflict and difficult decisions. S/he will have the utmost sensitivity and knowledge of cultural, political, and religious environments in the regions where we work and have a strong commitment to teamwork and accountability. This full-time position is currently remote with plans to be partially remote/partially based in New York City beginning in January 2022.


Key Duties and Responsibilities:

  • Represent the legal interests of Resolve to Save Lives in all areas including contracts, negotiations, policy, regulatory, employment, nonprofit and corporate governance, structuring and compliance issues, intellectual property, licensing, benefits, risk management, litigation management, liability, due diligence, insurance, employment matters, and international entity formation
  • Provide guidance to the Board of Directors and Senior Management Team on all legal matters impacting organizational decisions, including identifying potential risks and recommending mitigation procedures
  • Protect the organization from undue exposure and liability, as well as the organization’s reputation, resources, and programs
  • Oversee litigation and dispute resolution; respond to requests for information, complaints, and subpoenas
  • Draft, review, and negotiate contracts with funders, vendors, and consultants
  • Establish and maintain relevant policies, including conflict of interest, anti-fraud, anti-bribery, grievance, whistleblower, and signature authority policies
  • Ensure organizational compliance with contracts and applicable law and regulations related to lobbying, regulatory, and public policy for charitable solicitations in New York State
  • Advise on domestic and international regulations on personal data use as it applies to health-related digital tools and applications
  • Monitor legislative and regulatory developments that could impact Resolve to Save Lives, including HR and benefits-related legislation and regulations of the US Department of Treasury Office of Foreign Assets Control (OFAC)
  • Select, retain and manage legal services (including pro bono) provided by a network of outside counsel that engages on legal issues and regulations related to Resolve to Save Lives global operations; act as a liaison with outside counsel and advisors
  • Maintain bylaws and other governing documents
  • Advise and move forward the optimal structure and workflow of legal and compliance functions, utilizing best practices and relevant contract management systems
  • Partner and work cross-departmentally with:
    • Program teams to provide legal guidance related to new programs and initiatives of Resolve to Save Lives
    • Operations to collaborate on discussions regarding safety and security, as well as determinations of insurance coverages and limits
    • HR on relevant employment and labor laws and work authorization matters
    • Finance on tax, audit, governance, and other financial matters

Required Experience and Skills:

  • Juris Doctorate (JD) from an accredited ABA law school
  • Active member in good standing of the New York State Bar
  • 10 years of post JD professional legal experience with a law firm or in-house, preferably in a public health, advocacy, or other mission-driven field
  • Understanding of US and international law related to international business, such as sanctions, counterterrorism, foreign corrupt practices act and anti-money laundering laws
  • Effective communicator at all levels in the organization, with strong oral, written, presentation, and interpersonal skills
  • Knowledge of HITECH and other legislation applicable to a public health organization preferred
  • Excellent analytical, negotiation, and research skills
  • Ability to provide quality legal advice, develop creative solutions, and exercise sound business judgment and discretion
  • Exceptional initiative and proven ability to work efficiently and effectively in a fast-paced environment



  • Experience with operational establishment of a new entity and/or start-up environment
