The Opportunity

Denali Therapeutics is recruiting an experienced Corporate Counsel, title to be commensurate with experience, reporting to the Senior Vice President, Associate General Counsel and Head of Legal. You will join and work closely with multiple teams across the business to help build, operate and defend Denali’s corporate legal affairs. 

We have built a Legal team that is fully integrated across Denali’s business, and we need your help to develop and implement corporate legal strategies. Denali is a rapidly growing, public company with a diverse product portfolio, multiple strategic collaborations, an expanding employee base, and has many legal governance, transactional and financial needs. There are many rewarding opportunities for a corporate attorney to make a significant impact by implementing corporate strategies and ultimately helping patients suffering from these terrible diseases.

Responsibilities

  • Partner with Head of Legal, Finance and Human Resources to create, develop and implement corporate governance strategies and policies
  • Partner with the Finance and Investor Relations teams to prepare and file required disclosures, and advise the team on other business-driven disclosures and other corporate legal financial matters
  • Work with our Contracts and Corporate Development teams to draft and negotiate various agreements, and advise the business on managing existing collaborations to ensure success
  • Develop and implement various corporate compliance strategies, including training employees on insider trading, pre-clearance/blackouts and trading plans with our human resources and finance teams and data privacy policies with our IT team
  • Manage relationships with outside counsel to ensure efficient and optimal outcomes for Denali’s legal matters
  • Provide current information on legal matters in a proactive fashion, ensuring the company is up to date on new laws and legal developments

Who You Are

  • Juris Doctor (ABA accredited school), active membership in a state bar and in good standing
  • At least 5 years of experience practicing as an attorney, both law firm and in-house life science corporate experience considered with both experiences preferred
  • Substantive experience and expertise in corporate governance, corporate securities and transactional law
  • Excellent verbal and written communication skills. Creative, flexible and a team player. Able to communicate with tact and diplomacy. Able to build credibility, act independently with integrity
