As a Starbucks managing director, corporate and securities, you will….

  • Lead the Corporate & Securities team within the Starbucks Law & Corporate Affairs Department that provides legal advice and services with respect to:  complex corporate transactions, including investments, joint ventures and mergers and acquisitions; securities law and corporate governance matters, including public company reporting and compliance obligations; and a range of general corporate law issues, including treasury matters
  • Provide pragmatic, timely and excellent legal support across the various substantive legal areas noted above and supported by the Corporate & Securities team
  • Serve as a key legal and business strategy advisor to senior business leaders both across Starbucks, and to partners within the L&CA department, in alignment with the Company’s risk profile and business needs
  • Demonstrate sound judgment and the ability to deliver business-focused legal advice to a broad range of client groups
  • Build an effective team by establishing the direction for, leading, developing and motivating the Corporate & Securities team
  • Contribute to L&CA department and business strategic planning
  • Develop and manage the Corporate & Securities team budget
  • Manage the engagement of and relationships with outside counsel, including associated budgeting and cost management

Leveraging your previous experience, we will enable you to:

  • Lead – Effectively lead the Corporate & Securities team, which includes a mix of attorneys, legal professionals and paralegals.
  • Guide – Clearly and concisely communicate strategic legal counseling to a broad range of business teams.
  • Collaborate – Establish highly collaborative relationships with business teams and with other L&CA department partners to provide cross-functional support for the organization.
  • Be a Trusted Advisor – Help advance business objectives and mitigate risk by acting as a trusted advisor whose strategic thinking, business acumen, pragmatic problem-solving and proactive counsel are sought out by stakeholders.

We’d love to hear from people with:

  • Fifteen or more years (15+) of relevant substantive legal experience in a law firm or in-house legal department.
  • Experience working with executive leadership teams and public company boards of directors
  • Experience managing legal professionals, including the management of attorneys, paralegals and administrative support staff
  • Experience leading complex corporate transactions, including investments, joint ventures and mergers and acquisitions; experience handling securities law and corporate governance matters, including public company reporting and compliance obligations; experience advising on a broad range of general corporate law issues, including treasury matters
  • Experience managing cross-functional teams or projects
  • Experience advising businesses with international and/or complex corporate entities
  • Experience effectively navigating highly complex business and legal matters in a dynamic environment, balancing a myriad of perspectives while adapting quickly to change, building consensus and making timely, thoughtful decisions
  • Sophisticated interpersonal skills, including the ability to leverage relationships and manage cross-functional teams in partnership with a variety of functions including investor relations, financial planning, treasury, public affairs and corporate development, working with professionals at all levels across the organization
  • Experience managing outside counsel to ensure efficiency and fiscal prudence
  • Excellent judgement and a commitment to upholding the highest ethical standards
  • J.D. from accredited law school
  • License to practice law in pertinent jurisdictions

As Starbucks director, corporate counsel – Corporate and Securities, you will work collaboratively with cross-functional teams to provide counsel on corporate governance and securities law matters, ensure compliance with public company reporting and disclosure requirements, and assist with the facilitation of finance and treasury operations.  

In this role, you will:

  • Collaborate and assist with the drafting of SEC filings, including Forms 10-K, 10-Q and 8-K
  • Oversee proxy statement preparation and participate in the annual meeting process
  • Provide support to the Starbucks Board of Directors and the Starbucks executive leadership team on matters including the preparation and review of materials for meetings of the Board and its Committees
  • Lead the legal team in conducting securities offerings, preparing registration statements and managing other activities related to equity and debt transactions
  • Manage the company’s insider trading policy, blackout and preclearance processes, 10b5-1 trading plans, related party transactions and preparation of associated policies, communications and training materials
  • Manage the company’s Section 16 compliance program, report preparation and related SEC filings
  • Advise on investor relations materials including press releases, investor presentations, annual reports, earnings announcements, investor call scripts and other communications
  • Advise management on executive and director compensation, director independence, related party transactions and other corporate governance matters
  • Manage the securities law aspects of executive compensation and employee benefit plan matters
  • Assist with other corporate transactions, finance initiatives and various legal matters as needed

In this role, you will also have the opportunity to provide business-oriented advice to a variety of client groups who manage complex businesses and third-party relationships to deliver the Starbucks brand to customers across a series of unique markets. Preferred candidates will have relevant experience in both law firm and in-house public company environments and will have significant experience with the federal securities laws, corporate governance matters and corporate finance and strategic transactions.  This role requires the exercise of sound judgment in a dynamic environment, the desire to learn and understand the Starbucks business, and the ability to orient your work and advice to the goals of Starbucks and its client teams.   

Leveraging your previous experience, we will enable you to:

  • Guide – Provide strategic legal counsel to clients across Starbucks, including the executive leadership team, and partners across the business and the Starbucks Law & Corporate Affairs (L&CA) department.
  • Collaborate – Team with other partners, both inside the Starbucks L&CA department and across the company, to provide cross-functional support for Starbucks business.  
  • Be a Trusted Advisor – Help achieve business objectives and mitigate risk by acting as a trusted advisor whose counsel is proactively sought out by clients. 

We’d love to hear from people with:

  • A minimum of 8 years of relevant substantive legal experience, including in law firms and serving as in-house counsel at a U.S. public company
  • Experience preparing securities filings, overseeing compliance with SEC rules and stock exchange requirements, and providing advice and counsel on securities and corporate governance matters
  • The ability to deliver high quality work in a fast-paced environment while effectively meeting deadlines and adapting to evolving priorities
  • Experience managing legal professionals and cross-functional teams or projects
  • J.D. from accredited law school
  • License to practice law in pertinent jurisdictions
