This position will serve as assistant counsel supporting the senior managing counsel for Corning’s Information Technology organization and the senior managing counsel for Corning’s Advanced Optics division. The role is designed to enable the chosen candidate to provide counsel and support to Corning’s Information Technology function as the corporation’s IT infrastructure, communications network, and software applications become more complex and central to business performance. The position also offers the chosen candidate an opportunity to work closely with a business unit and establish relationships with individuals managing an operating business. Approximately 60% of the candidate’s time and effort will be in support of the Information Technology function and the remainder in support of the operating business. The position will report on a solid-line basis to the senior managing counsel for Corning’s Information Technology and dotted-line to senior managing counsel for Corning’s Advanced Optics division. This position will interact with other lawyers in Corning’s Law Department including region-based colleagues and lawyers who support activities provided by other Centers of Excellence within the Corning Law Department (i.e., M&A, Litigation, and Intellectual Property).

Scope of Position:

  • Assistant counsel to Corning’s Information Technology organization and Corning’s Advanced Optics division
  • Provides general corporate and commercial legal services to in-house clients
  • Demonstrates experience in general corporate matters, including business strategy development, drafting transactional documents & information technology related agreements, regulatory compliance, corporate organization, and contract management
  • Coordinates legal matters handled by outside counsel, regional counsel, and other internal subject matter experts
  • Reports to senior managing counsel for Corning’s Information Technology and dotted-line to senior managing counsel for Corning’s Advanced Optics division

 Day to Day Responsibilities:

  • Business and legal counseling to management personnel in Corning’s Information Technology operations and related business operations as well as Advanced Optics division
  • Provide advice and counsel on a wide range of Information Technology initiatives and issues in support of Corning’s business objectives
  • Negotiate a wide variety of information technology agreements (e.g., managed services, cloud hosting, SAAS, PAAS, and software license arrangements) and commercial agreements including supply agreements, distribution agreements, and joint development agreements
  • Provide guidance regarding a variety of information security and open source licensing matters
  • Support IT contracting efforts and develop improvements in the process including interaction with the Global Supply Management function, VMO, Data Privacy, and Information Security operations
  • Coordinates legal matters handled by outside counsel, regional counsel, intellectual property counsel, and other internal subject matter experts, as necessary
  • Develop and improve the IT contract templates and corresponding guidance and best practices
  • Keep informed of current laws, regulations and developments

Required Education: Juris Doctor degree from a reputable law school

Required Years and Area of Experience: 4 – 6 years of experience

Required Skills:

  • Negotiation and conflict resolution experience
  • Contract drafting and management experience
  • Requires strong written and oral communication and analytical skills, and the application of independent judgment and creativity in drafting, negotiating, and concluding contracts.
  • Ability to function independently under general guidelines and defined goals but with the judgment to know when and how to escalate issues
  • An understanding of various information technology platforms
