AMA is looking for an SVP, General Counsel & Corporate Secretary, who will be responsible for all legal work performed on an in-house basis and for the supervision of all external legal work performed for AMA or its affiliates.



Responsibilities

  • Ongoing obligation to advise colleagues, and particularly the President and Chief Executive Officer, on matters of legal concern, including, but not limited to, the following:
  • General corporate, commercial, employment, intellectual property and real estate matters
  • Corporate governance, compliance and handle Corporate Secretary function
  • AMA's status as a tax-exempt organization under the Internal Revenue Code
  • The structuring of AMA's relationships with other organizations, domestic and foreign and both non-profit and for-profit
  • The corporate structure of AMA and its affiliates, subsidiaries and related organizations, with particular reference to the accomplishment of its corporate mission
  • The provision of a legal overview for AMA's long-term and strategic planning initiatives
  • The review and approval of all significant contracts
  • Other related duties


Qualifications

  • JD required
  • 10+ years broad corporate, commercial, employment, intellectual property, real estate and corporate governance legal experience; not-for-profit experience is helpful
  • Ability to partner with internal management and resolve legal/compliance issues
  • Travel in accordance with business need
